Sourced is an online venue that introduces business buyers to business sellers. Sourced is not a party to any contract of sale, is not a manufacturer, distributor, importer, exporter, freight forwarder, customs agent or payment institution, and does not take title to, possession of, or responsibility for any goods.
1Definitions and interpretation
"Platform" means the SOURCED website, applications, APIs and related services. "We", "us", "our", "Sourced" means Intentional Ventures Ltd (Company No. 17355827), trading as Sourced. "User" means any person or entity accessing the Platform. "Buyer" means a User seeking goods or services. "Seller" or "Supplier" means a User offering goods or services. "Listing" means any product, catalogue entry, capability or company profile published by a Seller. "RFQ" means a request for quotation submitted by a Buyer. "Transaction" means any contract, order, purchase or supply arrangement agreed between a Buyer and a Seller. "Content" means any data, text, image, document, certificate, specification or other material submitted to the Platform.
Headings are for convenience only. "Including" means "including without limitation". References to legislation include amendments and re-enactments.
2The nature of our service — we are an introduction venue only
Sourced operates a business-to-business marketplace whose sole function is to enable Buyers and Sellers to find each other, exchange information and negotiate directly. We are not a party to any Transaction and we act as agent for neither Buyer nor Seller.
- We do not manufacture, own, source, inspect, store, handle, package, export, import or ship any goods.
- We do not take title to, custody of or risk in any goods at any time.
- We are not a broker, freight forwarder, customs agent, notified body, certification authority, auditor, insurer, escrow provider, lender, credit reference agency or payment institution.
- We do not guarantee that any Buyer will purchase, that any Seller will supply, or that any Transaction will be performed, completed, delivered, paid for or be of satisfactory quality.
- Any contract of sale is formed exclusively between the Buyer and the Seller on terms they agree between themselves. Those parties are solely responsible for negotiating, documenting and performing it.
Where the Platform presents indicative pricing, minimum order quantities, lead times, Incoterms, capabilities or availability, that information originates from Sellers and is indicative only. It is not an offer capable of acceptance and does not bind any party.
3Eligibility and business-only use
The Platform is offered exclusively to businesses acting in the course of a trade, business, craft or profession. By registering you warrant that you are at least 18 years old, are acting for business purposes and are duly authorised to bind the entity you represent. Consumer protection rules that apply to business-to-consumer sales do not apply to your use of the Platform.
You must not use the Platform if you, your beneficial owners, directors or affiliates are subject to sanctions or trade restrictions imposed by the United Kingdom, the European Union, the United Nations or any other applicable authority, or if applicable law otherwise prohibits your use.
4Accounts and security
You must provide accurate, current and complete registration information and keep it updated. You are responsible for all activity under your account, for maintaining the confidentiality of your credentials, and for the acts and omissions of your personnel and agents. Notify us immediately of any suspected unauthorised access.
We may refuse registration, suspend or terminate any account, or withdraw any Listing, at our discretion, including where we suspect inaccuracy, fraud, sanction exposure, abuse, non-payment or breach of these terms.
5Verification, trust tiers and badges — what they mean and do not mean
We may carry out checks on Sellers, including identity, company registration, VAT registration format and status checks, bank identifier checks, beneficial ownership declarations and review of uploaded certificates. Trust tiers, verification badges, scores and similar indicators reflect our assessment at the time of the check, based on information supplied by the Seller and publicly available registry sources.
- A badge, tier or score is not a guarantee, warranty, endorsement, recommendation, credit rating, certification, financial advice or assurance of quality, solvency, capacity, legality or performance.
- Certificates (including CE, ISO, REACH, GMP or similar) are uploaded or declared by Sellers. We do not issue or validate them, and we are not a notified or accreditation body.
- Verification status may become out of date. It may be revoked or changed at any time without notice.
- Buyers remain solely responsible for their own due diligence, supplier qualification, sampling, inspection, audits, compliance assessment and contractual protections.
6Listings and Seller obligations
Sellers are solely responsible for their Listings and warrant on an ongoing basis that:
- they have the legal right to offer and supply the goods described;
- all descriptions, specifications, images, prices, certifications, country of origin and compliance claims are accurate, current, not misleading and substantiated;
- the goods comply with all applicable law in every market in which they are offered, including product safety, labelling, CE/UKCA marking, chemical, food-contact, medical device, machinery, electrical, packaging and waste legislation;
- they hold all required registrations, licences, permits and insurances, including any required to place goods on the EU or UK market;
- their Content does not infringe any third-party intellectual property, confidentiality or other right; and
- they will honour any commitment they make to a Buyer through the Platform.
We may edit, reclassify, downrank, suspend or remove any Listing at any time, including for inaccuracy, illegality, poor quality, complaint volume, or breach of our Acceptable Use Policy.
7Buyer obligations
Buyers warrant that they:
- submit genuine enquiries and RFQs with accurate requirements, volumes and timelines;
- will comply with all import, export, customs, sanctions, dual-use, tax and product compliance obligations applicable to goods they acquire;
- will not use Seller information, quotations, drawings, samples or pricing for any purpose other than evaluating and pursuing a legitimate Transaction; and
- will conduct their own verification and will not rely solely on Platform trust indicators.
8RFQs, quotations and negotiations
RFQs, quotations, bids and messages exchanged on the Platform are communications between Users. Sourced does not vet, validate, price, endorse or guarantee them, and makes no representation that an RFQ will attract responses or that a quotation will be honoured. Users decide for themselves whether and on what terms to contract, including specification, quality standards, inspection rights, Incoterms, delivery, payment terms, currency, retention of title, warranties, indemnities, insurance, governing law and dispute resolution.
9Payments between Users
Sourced does not process, hold, escrow, guarantee or insure payments for Transactions between Buyers and Sellers. All such payments are made directly between the parties using channels they select and at their own risk. We are not responsible for non-payment, chargebacks, fraud, misdirected funds, payment interception, invoice fraud, currency movements or bank charges arising between Users. Verify bank details independently through a trusted channel before transferring funds.
10Subscription plans, advertising and platform fees
Some Platform features are paid, including Seller plans and prepaid advertising budgets. Charges, billing periods and inclusions are those shown at the point of purchase. Unless stated otherwise:
- fees are quoted exclusive of VAT and other taxes, which are added where applicable;
- advertising budgets are prepaid, are consumed against delivered impressions, clicks and placements recorded by our systems, and our measurement is determinative absent manifest error;
- unused, invalidated or fraud-filtered advertising spend is handled according to the advertising rules shown in the Advertising Centre;
- fees are non-refundable except where required by law or expressly stated, and paying for a plan or campaign does not guarantee enquiries, leads, sales, ranking position or any commercial outcome; and
- we may change pricing prospectively on reasonable notice; continued use after the change takes effect constitutes acceptance.
Sponsored placements are labelled. Organic ranking is determined by relevance signals and may change at any time. No User acquires a right to any particular position or visibility.
11Content licence and intellectual property
You retain ownership of Content you submit. You grant us a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, translate, adapt for formatting, display and distribute that Content for the purpose of operating, promoting and improving the Platform, including in search results, category pages, marketing and machine-translated form.
The Platform itself, including its software, design, structure, databases, trust methodology and branding, is owned by us or our licensors. You may not copy, scrape, crawl without permission, reverse engineer, resell or create derivative works from any part of it, nor extract substantial parts of any database.
12Translation and automated features
The Platform offers machine translation and AI-assisted support. Translations and AI responses are provided for convenience only, may be inaccurate or incomplete, do not constitute legal, compliance, tax, financial or technical advice, and must not be relied upon for contractual, regulatory or safety decisions. The original English text prevails in the event of conflict.
13Prohibited conduct
You must comply with our Acceptable Use Policy, which forms part of these terms. In particular you must not misrepresent identity or origin, list prohibited or counterfeit goods, circumvent fees, manipulate reviews, ranking, impressions or clicks, harvest data, introduce malicious code, probe our security, or use the Platform to send unsolicited marketing.
14Availability and changes to the Platform
The Platform is provided on an "as is" and "as available" basis. We do not warrant uninterrupted, timely, secure or error-free operation, or that defects will be corrected. We may modify, suspend or discontinue any feature, Listing, integration or the Platform as a whole at any time, with or without notice.
15Disclaimer of warranties
To the maximum extent permitted by law, we exclude all representations, warranties, conditions and terms implied by statute, common law or otherwise, including as to satisfactory quality, fitness for purpose, accuracy, non-infringement, compliance with law and merchantability, in relation to the Platform and to any User, Listing, Content, trust indicator, Transaction or goods.
We do not warrant the identity, solvency, honesty, capability, capacity, certification status or legal compliance of any User, nor the existence, quality, safety, legality or conformity of any goods.
16Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
Subject to that, and to the maximum extent permitted by law:
- we are not liable for any loss or damage arising out of or in connection with any Transaction, dealing, dispute, contract, communication or relationship between Users, including non-delivery, late delivery, defective, unsafe, non-conforming, counterfeit or illegal goods, non-payment, insolvency, fraud, misrepresentation, breach of contract, product recall, regulatory enforcement, customs seizure, sanctions exposure or third-party claims;
- we are not liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, reputation, data, or for any indirect, special or consequential loss, however arising and whether or not foreseeable;
- our total aggregate liability arising out of or in connection with the Platform and these terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of (a) the total fees you actually paid to us in the twelve months immediately preceding the event giving rise to the claim, and (b) one hundred euros (EUR 100).
You acknowledge that these limitations are reasonable given that we provide an introduction venue rather than goods, and that the fees we charge reflect that allocation of risk.
17Indemnity
You will indemnify and hold harmless Sourced, its group companies, directors, officers, employees and agents against all claims, demands, proceedings, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your Content or Listings, any Transaction you enter into, your breach of these terms, or your breach of any applicable law or third-party right.
18Disputes between Users
Disputes concerning Transactions are strictly between the Buyer and the Seller. We have no obligation to mediate, arbitrate, investigate, adjudicate or enforce any outcome. We may, at our sole discretion and without assuming any duty, provide factual records from the Platform, suspend accounts or take other action we consider appropriate. You release Sourced from all claims, demands and damages arising out of disputes with other Users.
19Reporting and takedown
If you believe a Listing or Content is illegal, infringing, unsafe or misleading, contact us through the Support page with sufficient detail to identify the material and the basis of your complaint. We review reports and may remove content, restrict visibility, suspend accounts or notify authorities. We act as a hosting provider for User Content and are not obliged to monitor it generally.
20Data protection
Our processing of personal data is described in the Privacy Policy. Where you obtain personal data of another User's personnel through the Platform, you act as an independent controller and must process it lawfully, fairly and only for the purpose of the intended business relationship.
21Suspension and termination
You may close your account at any time. We may suspend or terminate access immediately where we reasonably believe you have breached these terms, presented risk to other Users or to us, or where required by law. Termination does not affect accrued rights. Clauses relating to intellectual property, disclaimers, liability, indemnity, disputes and governing law survive termination.
22Changes to these terms
We may amend these terms from time to time. Material changes will be notified through the Platform or by email. Continued use after the effective date constitutes acceptance. The version published on the Platform is the operative version.
23General
These terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy and Buyer & Seller Agreement, constitute the entire agreement between you and us regarding the Platform and supersede all prior understandings. If any provision is held invalid, the remainder continues in force. No failure to enforce is a waiver. You may not assign your rights without our consent; we may assign ours on notice. Nothing creates a partnership, joint venture, agency or employment relationship. A person who is not a party has no right to enforce these terms, except that our group companies and personnel may enforce the disclaimer, limitation of liability and indemnity clauses.
24Governing law and jurisdiction
These terms and any dispute arising out of them, including non-contractual disputes, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings to protect our intellectual property or to enforce an unpaid debt in any competent court.
